TERMS AND CONDITIONS 1 Acceptance The Use Of Terms and Conditions 1.1 Your access to, and use of, Crossroad (xRoad) and services associated with Crossroad (xRoad) such as EpicMusicQuiz, Bilskolan.app and others (hereby referred to only as xRoad) are subject exclusively to these Terms and Conditions. Where you have agreed to another Terms and Condition in order to use xRoad, usage of xRoad is still subject to that Terms and Conditions but overruled by this Terms and Conditions. You will not use xRoad for any purpose that is unlawful or prohibited by these Terms and Conditions. By using xRoad you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using xRoad. By using xRoad you are also agreeing to the privacy policy found on the xRoad website https://xroad.app 1.2 You confirm that you are at least 13 years old or older and you agree to only use xRoad for its intended use. 1.3 You acknowledge and confirm that you have the appropriate rights to all data (videos, images etc.) and streaming data (video, images etc.) that you use with xRoad. 1.4 You will only create one (1) xRoad account. 1.5 You may not share your xRoad account with other people. 1.6 You acknowledge and confirm that the e-mail address you entered when creating an xRoad account is a valid e-mail address and that you are the owner of this e-mail address. 1.7 xRoad gives you a convenient way of embedding third-party streaming data (from providers such as YouTube, Vimeo and others). Any video or other data that you link to or include in your xRoad project(s) are subject to each provider's own Terms and Conditions as well as their own Privacy Policy. You acknowledge and confirm that you have read and accepted any and all Terms and Conditions and Privacy policy of the third-party streaming provider that you link to or embed into xRoad. You also acknowledge and confirm that you are the sole responsible party/person of ensuring that your xRoad project(s) does not break any Terms and Conditions issued by the third-party streaming provider that you link to or embed into your xRoad project(s). 1.8 You agree to only link and/or embed data in your xRoad project(s) that you have full legal right to link to and/or embed for public viewing. 2 CREDIT CARD DETAILS and TRANSACTIONS 2.1 xRoad uses Paddle (https://paddle.com/) as a payment provider. All credit card details are handled by Paddle. xRoad does not handle or store any credit card information. 2.2 xRoad will never ask for your credit card information in e-mails etc. All purchases are done through Paddle. xRoad can not be held responsible for any fraud or phishing attemps. If unsure about a potential phishing attempt, please contact us at info@xRoad.app. 2.3 Projects created with xRoad may contain "Payment actions" that prompts users to make a purchase through Paddle. Successful payments will be credited to xRoad's Paddle account. The xRoad user may choose to link their own Paddle account in order to receive their share, a percentage that is displayed on the xRoad website, of the transaction's net value. Affiliate payouts from such transactions are credited to the xRoad user's Paddle account through Paddle's affiliate functionality if they have registered their Paddle Vendor ID with xRoad. 2.4 Users who have not linked their Paddle account on the xRoad website, by specifying their valid Paddle Vendor ID in the designated input field described on the xRoad website, will not receive any share of any transaction. Neither shall users receive any compensation, or other, if they have not linked their Paddle account with xRoad. 2.5 In order for users to get their share of the transactions made through the payment action in the projects they have created, users must first create their own Paddle account and be approved as a vendor by Paddle. xRoad has no influence over Paddle and Paddle's decisions. 2.6 Users utilizing the payment action in projects they create must adhere to Paddles restrictions and guidelines that can be found here https://paddle.com/support/aup/ 3 LEGAL ADVICE The contents of xRoad do not constitute advice and should not be relied upon in making or refraining from making, any decision. All material contained on xRoad is provided without any warranty of any kind. You use the material on xRoad at your own discretion. 4 CHANGE OF USE xRoad reserves the right to: 4.1 change or remove (temporarily or permanently) xRoad or any part of it without notice and you confirm that xRoad shall not be liable to you for any such change or removal and 4.2 change these Terms and Conditions at any time, and 4.3 change the amount of data storage or data transfer connected with your xRoad account without notice, and 4.4 change the price for xRoad services without notice and your continued use of xRoad following any changes shall be deemed to be your acceptance of such change. 5 Links to, and use of, Third Party 5.1 xRoad may include links to, or make use of, third party software and services that are controlled and maintained by others (hereby referred to only as Third Party). Any link to or usage of Third Party is not an endorsement of Third Party. You acknowledge and agree that we are not responsible for the content or availability of any such Third Party. 5.2 Any party wishing to link to xRoad is entitled to do so provided that the conditions below are observed: (a) you do not seek to imply that we are endorsing the services or products of another party unless this has been agreed with us in writing; (b) you do not misrepresent your relationship with xRoad; and (c) ; the place from which you link to xRoad does not contain offensive or otherwise controversial content or, content that infringes any intellectual property rights or other rights of a third party. 5.3 By linking to xRoad in breach of our terms, you shall indemnify us for any loss or damage suffered to xRoad as a result of such linking. 6 COPYRIGHT 6.1 All copyright, trade marks and all other intellectual property rights in xRoad and its content (including without limitation the design, text, graphics and all software and source codes connected with xRoad) are owned by or licensed to xRoad or otherwise used by xRoad as permitted by law. 6.2 None of the content accessed through or on xRoad may be downloaded, copied, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. 7 DISCLAIMERS AND LIMITATION OF LIABILITY 7.1 xRoad is provided on an AS IS and AS AVAILABLE basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. 7.2 To the extent permitted by law, xRoad will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of xRoad. 7.3 xRoad makes no warranty that the functionality of xRoad will be uninterrupted or error free, that defects will be corrected or that xRoad or any server that makes it available are free of viruses or anything else which may be harmful or destructive. 7.4 Nothing in these Terms and Conditions shall be interpreted in such a way that xRoad, its employees, agents or affiliates can be liable for any death or personal injury as a result of using xRoad. 7.5 Deleting a project is final and xRoad can not recreate a project once it has been deleted. 7.6 "Premium" and other such services and/or products that xRoad sell are valid only within xRoad for as long as xRoad is offering the purchased service or product. If xRoad, for any reason at all, is unable to offer any services, products or associated services (because of servers being down or any other reason), xRoad will not be required to issue any refunds. 7.7 All features that xRoad provides are not necessarily available in all countries or regions. 7.8 xRoad may use third party webservices to enhance or simplify any aspect of xRoad. 7.9 xRoad will not be held responsible for any charges to you (for bandwidth usage or anything else) that has come from using xRoad. 7.10 xRoad has the right to charge any price for any feature in xRoad. 7.11 xRoad witholds the right to alter or delete any project that has been created using xRoad. 7.12 xRoad will not be required to change any information associated with your xRoad account. 7.13 The data storage and bandwidth usage available to you within xRoad may change at any time without notice and it is completely up to xRoad to decide how much data storage and bandwidth you can use at any time. 7.14 xRoad can at any time and without notice suspend your access to xRoad. 7.15 xRoad will not be required to issue any refunds for any reason. 7.16 xRoad can not, and will not, guarantee that third party services available inside, or in relation to, xRoad (including, but not limited to, YouTube, Vimeo etc.) will be supported in xRoad forever. 7.17 xRoad witholds the right to publish, or make publically available, projects that has been created using xRoad. 8 INDEMNITY You agree to indemnify and hold xRoad and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against xRoad arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of xRoad. 9 SEVERANCE If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable. 10 WAIVER If you breach these Terms and Conditions and we take no action, we will still be entitled to use our rights and remedies at a later time. Also, if you breach these Terms and Conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions. 11 GOVERNING LAW These Terms and Conditions shall be governed by and construed in accordance with the law of Sweden and you hereby submit to the exclusive jurisdiction of the Swedish courts. 12 PREMIUM PREMIUM FEATURES inside xRoad may be available via subscription or by other means. Updated pricing information can be obtained through the xRoad website. General details for premium subscriptions offered through xRoad - Monthly or yearly auto-renewable subscription - Payment will be charged at confirmation of purchase - Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period - Account will be charged for renewal within 24-hours prior to the end of the current period, and identify the cost of the renewal - Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user's Account in xRoad after purchase - Cancelling a subscription means that the next subscription cycle will be cancelled. Refunds for a current, already paid, subscription cycle will not be issued. - Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription. - Free trial periods, if offered, will automatically turn into a regular monthly or yearly renewable subscription unless cancelled 24-hours prior to the end of the trial period. 13 GDPR In accordance to GDPR, any user has the right to completely delete their xRoad account. This can be done though "Account" on the xRoad website. Please note that if a account has been deleted, it can never be restored! This means that all projects and other data associated with the user will be completely lost forever! It is the user's responsibility to make backups of any data before deleting their account and xRoad cannot be held responsible for any data-loss. Any remaining subscription premium status associated with a deleted account will be voided without any refunds. Deleting an account does not automatically cancel any subscription as this has to be done separately.
